“Management PKO Bank Polski SA (…) On January 30, 2024, he received a notification from the shareholder – State Treasury on the nomination of candidates for the Supervisory Board of the Bank, in connection with convening the Extraordinary General Meeting on February 2, 2024 (…)” – the bank announced on Tuesday in a stock exchange announcement. It was indicated that the State Treasury submitted a nomination to the Supervisory Board Maciej Cieślukowski, Hanna Kuzińska, Szymon Midera, Marek Panfil, Marek Radzikowski, Paweł Waniowski, Katarzyna Zimnicka-Jankowska.
Who are the candidates?
- The biographical notes of the candidates explain that Maciej Cieślukowski is a habilitated doctor of economic sciences in the field of finance, professor at the Poznań University of Economics. Member of the Management Board of the Polish Economic Society (Poznań Branch). A graduate of the Poznań University of Economics, majoring in Finance and Banking, specializing in Finance and Monetary Policy. For many years he has been cooperating with selected marshal offices and the National Center for Research and Development as an expert, and is the author of expert opinions for the Senate of the Republic of Poland.
- Hanna Kuzińska she graduated in internal trade economics from the Faculty of Economics and Sociology of the University of Łódź in 1973. In 2007, she became a habilitated doctor of economic sciences at the Faculty of Economic Sciences of the University of Warsaw. Since 1997, she has been employed at the Department of Finance at the Kozminski University, and since 2007 as an associate professor. She worked, among others, as an expert in the Office of Studies and Expertise of the Chancellery of the Sejm and in the Chancellery of the Senate. In the years 2002-2005, she served as Undersecretary of State at the Ministry of National Education and Sport. In the years 2008–2011 she was an advisor to the Minister of National Defense.
- It was indicated that Szymon Midera is an experienced manager with strong competences in managerial positions in banks and other financial institutions. Since 2016, founder, co-owner and president of Shumee SA (commerce platform), member of supervisory boards with many years of experience in the area of professional corporate governance standards. For eight years, until June 2016, he served as the president and vice-president of Bank Pocztowy. Previously, he was associated with mBank for seven years. He managed, among others: area of marketing, online sales and business development.
- Dr. Marek Panfil is a graduate of the Warsaw School of Economics, including: an expert in the valuation of enterprises and intangible assets, a strategic advisor in the field of building company value for shareholders, he is the author and co-author of 11 books and 45 articles in the area of corporate finance and valuations. He gained over 25 years of professional experience in Canada (KGHM International – as an Internal Audit Manager and in EY as a manager in Transaction Advisory Service Valuation and Business Modeling), in Poland in consulting companies and as an independent member of supervisory boards in KGHM Polska Miedź SA, Interferie SA , NDM SA, and also as a lecturer, mentor, and head of postgraduate studies in business valuation. He is a member of the management board of the Polish Association of Certified Business Valuators in Poland.
- Marek Radzikowski is a doctor of economics, head of the Economic Growth Research Department of the Warsaw School of Economics, lecturer of data science subjects, author of many economic publications, including two books. He completed his master’s degree with distinction at the Warsaw School of Economics, majoring in finance and banking, and then completed his MBA studies as part of The Community of European Management Schools (CEMS) program. He co-founded the Civic Development Forum (FOR) as deputy director of the analytical department and deputy chief economist, and then worked as head of the cabinet (head of advisors) of the Minister of Finance. He was also an advisor to the management board of the Polish Bank Association, president of the Warsaw Banking Institute, and in recent years he worked as Vice President at JP Morgan. He is a member of the Society of Polish Economists and an expert at the Institute of Public Finance.
- Paweł Waniowski is a professor at the Faculty of Management of the Wrocław University of Economics, a habilitated doctor of economic sciences in the discipline of management science. Currently, he is the head of the Department of Marketing Research. Author or co-author of approximately 120 scientific and popular science publications, including 12 books (including popular studies in the field of marketing “Marketing. How to do it?” and “Marketing. Theory and examples”), supervisor of over 650 master’s and diploma theses and numerous studies, expert opinions and reviews.
- Katarzyna Zimnicka-Jankowska is an independent member of the Supervisory Board and the Audit Committee of cyber_Folks SA listed on the Warsaw Stock Exchange. Previously, she sat on the supervisory boards of companies such as IDS-BUD SA, DiM Construction Sp. z o. o. and Piastowskie Przedsiębiorstwo Usług Komunalnych Sp. z o. o. Since 2012, he has had his own business, within which he provides strategic and financial consulting services, including advice on mergers and acquisitions, obtaining financing, valuations and efficiency analyzes of investment projects. Cyła is a member of the management board of PKP Intercity, responsible for, among others, for creating and implementing strategies as well as planning and implementing key investment processes. Previously, she held directorial positions in, among others, at KPMG or Pekao Access. She is a graduate of the Faculty of Organization and Management of the Lodz University of Technology. He also holds the CFA (Charted Financial Analyst) title.
PKO BP meeting on Friday
At the beginning of January this year. PKO BP announced that on February 2 this year. The Extraordinary General Meeting of PKO Bank Polski will be held. The agenda includes, among others: changes in the composition of the company’s supervisory board, as well as adopting a resolution on the assessment of the suitability of the collective supervisory board of PKO BP.
