Changes in the supervisory board of Cyfrowy Polsat

Zygmunt Solorz as the main shareholder, owning over 62%. shares of Cyfrowy Polsat, participated in Tuesday’s general meeting remotely, accompanied by a lawyer. Solorz opened the meeting and proposed the election of the chairman of the general meeting. He no longer appeared on the company’s broadcast.

The general meeting was attended by shareholders holding almost 418 million shares, translating into 597 million votes – almost 73%. total votes at the general meeting.

During the meeting, the shareholders voted on the resolution dismissal of Zygmunt Solorz’s son – Tobias Solorz from the supervisory board, where he served as vice-chairman. The resolution gained support of 80 percent. votes. Earlier, they dismissed Jarosław Grzesiak and reduced the number of members of the council by two people – to six. Therefore, no new members were elected to it.

All resolutions adopted at the meeting were protested by Tobias Solorz’s representative, lawyer Paweł Rymarz. He also submitted other motions, including: for the attendance list to be checked by a special committee. At the same time, he admitted that the Commercial Companies Code allows a shareholder to apply for it with at least one tenth of the capital represented at the general meeting, and his principal does not have that amount. The application was left without consideration precisely due to this circumstance, said Jerzy Modrzejewski, who chaired the meeting.

Protests and legal objections

When objecting to the change in the number of members of the supervisory board, Rymarz argued that the company’s statute did not provide for it during the combined term of office of the management board and the council. At the end of the meeting, Tobias Solorz’s representative, submitting a written objection, stated that the general meeting had been improperly convened. The attendance list was not checked, and the resolution to dismiss his client is aimed solely at harming him and is detrimental to the company’s interests.

Cyfrowy Polsat shares on the WSE lost 0.58% at the close of trading on Tuesday. and were valued at PLN 12.00 per share.

Composition of the supervisory board after changes

After the changes, the following members sit on the supervisory board: chairman Zygmunt Solorz, vice-chairman Justyna Kulka, Józef Birka, Marek Grzybowski, Alojzy Nowak and Tomasz Szeląg.

On Thursday, the dismissal of Piotr Żak and Tobias Solorz from Netia’s supervisory board was confirmed to PAP by the company’s press office. Currently, Netia’s supervisory board consists of: Zygmunt Solorz (chairman), Justyna Kulka, Wojciech Pytel, Maciej Stec and Tomasz Szeląg.

Updated composition of the Polkomtel supervisory board

PAP also asked about changes in the supervisory board of Polkomtel, which confirmed that Piotr Żak and Tobias Solorz had been dismissed from it. The response sent to PAP also informed that Jarosław Grzesiak had also been dismissed from the supervisory board. According to the information posted on the company’s website, Polkomtel’s current supervisory board consists of: Zygmunt Solorz (chairman), Justyna Kulka (vice-chairman), Józef Birka, Aleksander Myszka, Wojciech Pytel, Maciej Stec and Tomasz Szeląg.

On Monday, the general meeting of ZE PAK dismissed Tobias Solorz and Piotr Żak from the company’s supervisory board. Zygmunt Solorz, through his company, has 65.98 percent. ZE PAK shares. In a letter dated Thursday, September 26 to employees of the Polsat Plus Group, Solorz announced actions that would result in the dismissal of his children from the management boards of the group’s companies.
